1. Acceptance of the agreement
These Terms of Service ("Terms") govern access to and use of the Mesero POS service, offered by MESERO LABS SL, tax ID B24873507 ("Mesero"). By registering or using the service you accept these Terms in full. If you do not agree with any part, you must not use the service. These Terms supplement the Legal Notice and the Privacy Policy, which form an integral part of the contract.
2. Service description
Mesero POS is a SaaS (software-as-a-service) platform for the comprehensive management of restaurants, including — among other features — table management, orders, electronic invoicing under Spanish VeriFactu, QR ordering, digital kitchen display, inventory, employees and reservations. Mesero commits to providing the service with the professional diligence required and to maintaining the features offered at the time of contracting. Specific features may evolve over time.
3. Account and registration
To use Mesero you must register with truthful, accurate and up-to-date information. You are responsible for keeping your credentials confidential and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account by emailing [email protected]. Mesero is not liable for losses arising from unauthorised use of an account by third parties.
4. User obligations
- Use the service only for lawful purposes and in accordance with these Terms.
- Do not upload, store or transmit content that is illegal, defamatory, obscene or that infringes third-party rights.
- Do not attempt unauthorised access to Mesero's systems, other customers' data or restricted areas.
- Do not use the service for activities that could damage, overburden or degrade Mesero's infrastructure.
- Comply with all applicable laws and regulations, particularly tax, data-protection and employment laws in your jurisdiction.
- Keep the restaurant's tax and billing information up to date.
5. Free trial
Mesero offers a free trial of 90 days from the moment of registration, with no credit card required and no commitment. During this period you have access to all features included in the standard plan. After the trial, to continue using the service you must activate a subscription.
6. Pricing and billing
Subscription prices are published at mesero-tpv.es/en/pricing and may change with prior notice.
- Subscriptions are billed in advance, monthly or annually depending on the plan.
- Prices are shown excluding VAT, which is added to the invoice in accordance with applicable regulations.
- Payment is made via the available methods (credit card via Stripe or other providers).
- Invoices are issued electronically and available in the admin panel.
- If payment is not received by the due date, Mesero may suspend access until the issue is resolved.
7. Cancellation
You can cancel your subscription at any time from the admin panel or by emailing [email protected]. Cancellation will take effect at the end of the current billing period, and you retain access until that date. No refunds are issued for billing periods already paid, except as required by law.
If you are a consumer under Spanish law, you have a 14-day withdrawal right from the date of contracting, unless you have expressly started using the service during that period, in which case you are deemed to have waived that right.
8. Customer data
The data you enter into Mesero (menus, orders, customers, employees, etc.) belongs to you. Mesero acts as a data processor of the personal data it processes on behalf of the customer and commits to not using it for purposes other than delivering the service.
Mesero applies technical and organisational measures to protect data, including periodic encrypted backups. Upon cancellation, you can export your data during the 30 days following account closure. After that period, data may be permanently deleted, except for data Mesero is legally required to retain (for example, tax records).
The processing of personal data is governed by the Privacy Policy.
9. Service availability
Mesero will make reasonable efforts to keep the service available 24/7. Scheduled maintenance windows may occur, usually during low-activity hours and with advance notice where possible. Mesero does not guarantee a specific service level (SLA) unless expressly agreed in writing in an Enterprise plan or similar. Interruptions caused by force majeure, cyberattacks on third parties or failures of the hosting provider are outside Mesero's control.
10. Intellectual property
All software, source code, design, logos, trademarks, text, images and other content of the Mesero service are the exclusive property of MESERO LABS SL or its licensors, and are protected by intellectual and industrial property laws. Subscribing grants you a personal, non-exclusive, non-transferable and limited license to use it in accordance with these Terms, without any transfer of rights over the software.
Decompiling, reverse engineering, copying, modifying, distributing or creating derivative works of the service is prohibited, except as expressly permitted by law.
11. Limitation of liability
To the maximum extent permitted by applicable law, MESERO LABS SL's total liability to the customer for any claim arising from the use of the service shall not exceed the amount paid by the customer in the twelve (12) months prior to the event giving rise to the claim.
In particular, Mesero shall not be liable for:
- Indirect losses, loss of profit or consequential damages.
- Data loss, where data can reasonably be recovered from backups.
- Errors or delays in integrations with third-party services (payment gateways, AEAT, delivery platforms, etc.).
- Improper use of the service by the customer or its employees.
- Customer's failure to comply with its tax, employment or data-protection obligations.
This limitation does not apply in cases of wilful misconduct or gross negligence attributable to Mesero, nor against consumers regarding mandatory legal warranties.
12. Termination
Mesero may immediately suspend or terminate the agreement, with notice to the customer, in the event of: non-payment; material breach of these Terms; use of the service for illegal purposes; or fraudulent or suspicious activity. The customer may terminate at any time by cancelling their subscription as described in section 7.
13. Changes to these terms
Mesero may modify these Terms to reflect legal, technical or business changes. For material changes, we will notify you with at least 30 days' advance notice by email or via a prominent notice in the admin panel. Continued use of the service after the modified Terms come into effect implies acceptance.
14. Governing law
These Terms are governed by Spanish law. For the resolution of any dispute, the parties expressly submit to the Courts of the city of MESERO LABS SL's registered office, waiving any other jurisdiction they may be entitled to, except where the customer acts as a consumer, in which case the jurisdiction of the consumer's domicile applies.
